Terms and Conditions May Vary - NOT AN ACTUAL AGREEMENT
1.Installation and De-installation - The Artist will be responsible for all installation materials and labor, as well as the removal of the piece during the month of October. The Artist will not install work or interpretation in any other location than the location agreed upon by both parties. TOG will be responsible for all signage and marketing of the installation. The Artist will only drive into the Garden with express permission.
2. Environment - TOG will ensure the reasonable care of Work but will not be held responsible for public misconduct or problems due to inclement weather, earthquakes, accident, riot, strikes, or other similar acts over which TOG has no control.
3. Declaration of Independend Contractor Status - The relationship of the Artist to The Oregon Garden shall be that of independent contractor. Such relationship shall not be construed or held to be one of employment for any purpose. The Artist agrees to indemnify and hold harmless The Oregon Garden from all liability, losses, claims, demands, actions, debts, and expenses of every name and nature for personal or bodily injury, damage to property, and/or other injury or damage arising out of his/her acts or omissions in performing under this Agreement, his/her presence on The Oregon Garden premises. This indemnification obligation shall include all costs, including reasonable attorney's fees and court costs, incurred by The Oregon Garden in connection with the defense against any such claim of liability. The Artist agrees to provide all equipment and supplies necessary to fulfill this agreement unless otherwise specified.
4. Financial Arrangements - Should the exhibit sell during or as a result of the Art in The Garden installation, the Artist will pay a 30% commission to The Oregon Garden. If the piece is sold, it must remain at The Oregon Garden on display until September 30.
